How to Tender Your Shares

Non-Registered Shareholders

Shareholders that hold their shares through a brokerage, bank, investment dealer, or any other intermediary, are non-registered beneficial shareholders. The overwhelming majority of shareholders fall into this category, including US, Canadian and German accounts holding Nasdaq, Toronto or Frankfurt-listed shares.

Contact your broker or intermediary directly and instruct them to tender your Aurora shares on your behalf. They will handle the delivery to the depositary for you.

Don't wait until the offer's official deadline. Brokers and intermediaries set their own internal cut-off, which falls earlier than the Expiry Time in the offer documents, so they have time to process instructions and forward them along.

Missing your broker's cut-off can mean missing the offer entirely, even if you acted before the official deadline.

Not sure who to call? Check your monthly brokerage statement for the firm's name and contact information or call the number on your account portal.

Registered shareholders

A small number of shareholders hold shares directly, with a share certificate or DRS statement issued in their own name on the company's books. If that's you, you'll tender using the Letter of Transmittal included in your offer package.

Steps to Tender (Registered Shareholders)

1. Complete the Letter of Transmittal. Fill in your share certificate details, indicate how you'd like to receive payment, and sign in the space provided. If someone other than the registered holder is signing, or payment is going to a different name or address, your signature will need to be guaranteed by an eligible financial institution.


2. Deliver your documents to the depositary. Send your completed Letter of Transmittal, along with your original share certificate(s), to the depositary.

Delivery is only considered complete once the depositary physically receives it, so leave enough time.

A certificate number does not need to be provided if Common Shares are represented by a Direct Registration Statement (DRS) Advice.
